Terms of Service
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and Fair Shares Ltd. (“Fair Shares,” “we,” “us,” or “our”). These Terms govern your access to and use of all Fair Shares websites, dashboards, interfaces, smart-contract documentation, communication channels, and any related technologies (collectively, the “Services”).
By accessing or using the Services, you acknowledge that you have read and fully understood these Terms, and you agree to be legally bound by them. These Terms form a binding agreement between you and Fair Shares, and govern your use of all features, content, tools, and functionality made available through the Services.
If you do not agree to these Terms, or if you are unable to comply with any of the obligations set forth herein, you should discontinue use of the Services immediately. Continuing to access or use the Services after changes to these Terms have been published will constitute your acceptance of the updated version.
You also understand and agree that your use of the Services may be subject to additional policies—such as our Privacy Policy, security disclosures, and jurisdiction-based restrictions—which together form an integrated framework governing your interaction with Fair Shares. It is your responsibility to review these documents periodically and ensure that your use of the Services remains compliant with all applicable requirements.
1. Scope of Services
1.1 Description of the Services
Fair Shares provides institutional-grade infrastructure enabling enterprises, public companies, and users to participate in secure, transparent on-chain financial operations. The Services include, but are not limited to:
(1) Fair Treasury — a non-custodial system allowing enterprises to deploy eligible digital assets (including BTC, ETH, and stablecoins) into vetted BTC-Fi, DeFi, and RWA strategies through audited smart contracts and risk-controlled integrations.
(2) Fair Starter — a mechanism that enables public companies and enterprises to distribute on-chain stock rewards through staking-based participation, allowing users to earn stock-linked allocations directly via non-custodial wallets.
(3) Financial interfaces & dashboards offering real-time analytics, transparency tools, performance metrics, reporting, and audit-ready transaction logs.
(4) APIs, SDKs, and developer tools that allow enterprises, asset managers, and integration partners to incorporate Fair Shares’ smart contract modules into their internal systems and financial workflows.
(5) Documentation, technical resources, and support to assist users in safely accessing and interacting with the non-custodial infrastructure.
Fair Shares acts strictly as a technology provider. Fair Shares is not:
(1) a custodian
(2) a broker-dealer or exchange
(3) an underwriter or issuer of securities
(4) an investment manager or financial advisor
(5) a counterparty to any transaction executed through the Services
All transactions occur directly between users and blockchain networks through their own non-custodial wallets. Users retain full control over private keys and digital assets at all times.
1.2 Eligibility Requirements
By accessing or using the Services, you represent and warrant that:
(1) You are at least 18 years old or the legal age of majority in your jurisdiction.
(2) You possess full legal capacity to enter into binding agreements.
(3) Your jurisdiction permits interaction with digital assets, smart contracts, and blockchain-based systems.
(4) You comply with all applicable laws, tax obligations, reporting requirements, and sanctions regulations.
(5) You are not listed on any restricted or sanctions lists, including:
(a) U.S. OFAC Sanctions List
(b) EU Consolidated Sanctions List
(c) United Nations Security Council Sanctions List
(6) You are not accessing the Services from a prohibited or high-risk jurisdiction and will not use VPNs, proxies, or other tools to evade geographic or regulatory restrictions.
(7) You will use the Services solely for lawful purposes and in accordance with these Terms.
Fair Shares reserves the right to request additional identity, residency, or organizational documentation if necessary for compliance, risk assessment, or verification purposes.
1.3 Modifications and Availability
Fair Shares may, at its sole discretion and without liability:
(1) modify, enhance, or discontinue any feature, component, or functionality of the Services
(2) deploy updates, upgrades, patches, or new smart contract versions
(3) restrict, suspend, or terminate user access for compliance, security, operational, or regulatory reasons
(4) adjust interface design, system behavior, or available integrations
(5) enforce access limitations based on geographical region, risk scoring, user behavior, or legal obligations
While Fair Shares will make reasonable efforts to provide notice of material changes, we do not guarantee:
(1) uninterrupted service,
(2) continuous availability, or
(3) permanent access to any particular feature.
By continuing to use the Services after any modifications take effect, you acknowledge and accept the updated Terms and any modifications to the Services.
2. User Conduct & Restrictions
2.1 General Conduct Requirements
By accessing or using the Services, you agree to maintain lawful, ethical, and compliant behavior at all times. You further agree that you will not engage in any activity that:
(1) Interferes with or disrupts the normal operation, security, or performance of the Services, smart contracts, networks, or supporting infrastructure.
(2) Attempts unauthorized access to any Fair Shares system, smart contract, network, or account, including probing, scanning, or security testing without explicit permission.
(3) Introduces malicious code, including malware, exploits, automated attack scripts, or any software intended to compromise, disrupt, or manipulate systems.
(4) Bypasses, disables, or circumvents security protections, compliance filters, geographic restrictions, or risk-control mechanisms.
(5) Uses the Services to evade sanctions, AML/CTF requirements, export controls, or other applicable regulatory obligations.
(6) Engages in fraudulent, manipulative, or deceptive behavior when interacting with Fair Shares, integrated protocols, or any on-chain systems.
Users must act in good faith, maintain proper security of their wallets and devices, and comply with all relevant laws, regulations, and these Terms at all times.
2.2 Prohibited Activities
To preserve platform integrity and protect the broader on-chain ecosystem, the following activities are strictly prohibited:
Automated Abuse
(1) Using bots, crawlers, scrapers, automated scripts, or similar tools to interact with the Services without explicit authorization.
Reverse Engineering
(2) Attempting to reverse-engineer, decompile, disassemble, copy, or extract any source code, smart contract logic, algorithms, or proprietary systems.
Identity Manipulation
(3) Forging headers, metadata, or signatures; impersonating individuals or entities; or submitting false, misleading, or incomplete information.
Market or Protocol Manipulation
(4) Engaging in, assisting, or enabling activities such as:
(a) wash trading
(b) sybil attacks
(c) spoofing
(d) yield manipulation
(e) governance attacks
(f) liquidity manipulation
(g) oracle exploitation
(h) any behavior intended to distort market conditions or protocol outcomes.
Unauthorized Resale or Transfer
(5) Selling, leasing, sublicensing, or transferring access to the Services or any component thereof.
Blockchain Attack Behavior
(6) Participating in activities that threaten network stability, including:
(a) 51% attacks
(b) validator collusion
(c) harmful MEV exploitation
(d) denial-of-service attacks
(e) attempts to disrupt consensus mechanisms.
Violations of this section may result in immediate enforcement actions, including but not limited to:
(7) Suspension or termination of access.
(8) IP address blocking or geofencing.
(9) Wallet blacklisting using on-chain or off-chain tools.
(10) Reporting violations to regulatory or law-enforcement authorities.
(11) Legal action seeking damages, injunctions, or other remedies.
Fair Shares reserves full discretion to determine whether conduct violates these Terms.
3. Intellectual Property
3.1 Ownership
Fair Shares retains all rights, title, and interest in and to the Services and all associated intellectual property. This includes, without limitation:
(1)Website content, documentation, and written materials — including product descriptions, explanatory guides, specifications, and technical papers.
(2)Interface design, visual identity, brand assets, trademarks, service marks, and trade dress — covering all branding elements associated with Fair Shares.
(3)Smart contract architecture and protocol design — including on-chain mechanisms authored or maintained by Fair Shares.
(4)APIs, SDKs, developer tools, integration frameworks, and ancillary software libraries provided to developers or enterprise partners.
(5)Visual media and UI/UX assets — including diagrams, charts, animations, images, layouts, and structural design components of the user interface.
Except where expressly permitted in writing, you may not copy, modify, reproduce, distribute, publish, or create derivative works from any content or component of the Services. All rights not explicitly granted to you are reserved by Fair Shares and its licensors.
3.2 User Content
If you submit feedback, suggestions, proposals, feature ideas, or any other materials (“User Content”), you acknowledge and agree that:
(1)You grant Fair Shares a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, publish, translate, and incorporate such User Content into existing or future products and services.
(2)Fair Shares has no obligation to provide compensation, attribution, notice, or acknowledgement for the use of User Content.
(3)Your submission does not create any confidentiality duties, partnership obligations, or intellectual property rights for you over Fair Shares’ developments.
(4)You represent and warrant that you possess the rights to submit User Content and that such submission does not infringe or violate any third-party rights.
User Content may be used for product improvement, documentation, communications, internal research, or any other purpose at Fair Shares’ sole discretion.
4. Market, Technology & Operational Risks
By using the Services, you acknowledge and accept the inherent risks associated with decentralized technologies, regardless of whether such risks arise directly from Fair Shares or from third-party protocols and blockchain networks. These risks may result in partial or total loss of assets, data, or access.
4.1 Market Risks
Digital asset markets are highly speculative and volatile. Risks include, but are not limited to:
(1)Extreme price volatility — asset prices may fluctuate drastically within short time periods.
(2)Total or partial asset depreciation — tokens may lose significant value or become worthless.
(3)Liquidity shortages — integrated protocols may lack sufficient liquidity to execute transactions or withdrawals.
(4)Market dislocation and cascade liquidations — failures in lending markets or leveraged positions may trigger systemic losses.
(5)Exchange or protocol delistings — tokens may be removed, rescinded, or otherwise disabled on third-party marketplaces.
4.2 Smart Contract Risks
The Services rely on smart contracts, which may carry technical and logical vulnerabilities. Risks include:
(1)Undiscovered bugs or vulnerabilities that may be exploited before detection.
(2)Flash-loan or economic attacks that manipulate protocol logic or liquidity.
(3)Oracle manipulation, leading to incorrect pricing, faulty liquidations, or inaccurate settlement outcomes.
(4)Governance attacks, including malicious proposals or vote manipulation on integrated protocols.
(5)Failure of third-party smart contracts used for yield strategies, staking, or liquidity routing.
Fair Shares does not control or guarantee the security of external smart contracts.
4.3 Operational & Network Risks
Blockchain networks and supporting infrastructure may experience outages or failures, including:
(1)Network congestion on BTC, Ethereum, Solana, or other supported chains, causing significant delays.
(2)High transaction fees or failed transactions during peak usage periods.
(3)Validator failures, chain reorganizations, or network forks, which may disrupt operations or create inconsistent states.
(4)Service interruptions from RPC nodes, indexers, oracles, API providers, or other underlying service operators.
(5)Data feed inconsistencies or downtime, affecting analytics, reporting, or settlement.
4.4 Compliance & Regulatory Risks
Digital assets and related services are subject to evolving regulatory environments. Risks include:
(1)Changes in securities, derivatives, taxation, or AML/CTF laws that impact your ability to use the Services.
(2)Jurisdiction-specific restrictions, including bans or limitations on certain tokens or protocols.
(3)Tax reporting obligations, which may require you to self-report transactions or gains.
(4)Government orders or sanctions that restrict access to blockchain networks or related services.
(5)Regulatory enforcement actions that may affect the legality or availability of third-party protocols.
You are solely responsible for complying with your jurisdiction’s legal requirements.
4.5 Custody & Key Management Risks
The Services are fully non-custodial. You retain control over your wallet and private keys. Accordingly:
(1)Loss of private keys may result in permanent loss of assets — Fair Shares cannot recover or reverse transactions.
(2)Compromised wallets or devices may lead to irreversible unauthorized transfers。
(3)Hardware or software failures, including corrupted storage, malfunctioning browsers, or wallet outages, may prevent access.
(4)Improper key backup practices may result in accidental or unauthorized access.
(5)Phishing, social engineering, or malware may compromise wallet credentials.
Fair Shares does not have access to or control over users’ private keys or wallets.
5. No Investment, Financial, or Legal Advice
Fair Shares is a technology provider. All tools, dashboards, yield interfaces, and distribution mechanisms offered through the Services are provided for informational and operational purposes only. Nothing delivered through the platform should be interpreted as financial guidance, investment recommendations, legal opinions, or professional advice of any kind.
5.1 No Professional Advice Provided
You acknowledge and agree that the Services do not constitute:
(1)Investment advice — including suitability analysis, portfolio recommendations, or asset allocation guidance.
(2)Financial advice — including retirement planning, risk assessment, tax optimization, or income forecasting.
(3)Legal or regulatory advice — including guidance on securities laws, corporate governance, or jurisdiction-specific compliance.
(4)Broker-dealer or exchange services — Fair Shares does not intermediate transactions or execute trades on your behalf.
(5)Recommendations or endorsements of any digital asset, token, equity reward, staking mechanism, protocol, or yield strategy.
(6)Offers, solicitations, or promotions to buy or sell any asset, security, or financial instrument.
Fair Shares provides infrastructure only; all decisions remain solely your responsibility.
5.2 User Responsibility
By using the Services, you acknowledge that you are solely responsible for:
(1)Evaluating the risks associated with digital assets, yield strategies, and on-chain stock rewards.
(2)Understanding how staking, rewards, and token mechanics operate, including potential losses or lock-up conditions.
(3)Selecting which assets, networks, or strategies you choose to engage with, including assessing appropriateness for your financial situation.
(4)Verifying legal and tax implications in your jurisdiction.
(5)Consulting licensed financial, legal, tax, or investment professionals before making decisions based on any information available within the Services.
Your decisions and actions are entirely self-directed and undertaken at your own risk.
6. Limitation of Liability
To the maximum extent permitted under applicable law, you expressly acknowledge and agree that your use of the Services is entirely at your own risk, and Fair Shares shall not be liable for any damages arising from your reliance on, access to, or use of the platform.
6.1 General Limitation
Fair Shares, including its officers, directors, employees, contractors, affiliates, and agents, shall not be liable for any:
(1)Loss of digital assets, whether resulting from market events, protocol behavior, or user error.
(2)Financial losses, including loss of yield, profits, staking rewards, or economic opportunities.
(3)Business or operational losses, including reputational harm, interruption of business, or loss of anticipated benefits.
(4)Data loss, corruption, or unauthorized access, regardless of cause.
(5)Indirect, incidental, punitive, exemplary, or consequential damages, even if Fair Shares has been advised of the possibility of such damages.
6.2 No Liability for External or Uncontrolled Factors
Fair Shares is a non-custodial technology provider and is not responsible for failures or risks arising from systems that are outside Fair Shares’ direct control, including but not limited to:
(1)Blockchain failures — network congestion, consensus failures, chain reorganizations, or forks.
(2)Smart contract vulnerabilities — bugs, exploits, flash-loan attacks, or oracle failures in integrated protocols.
(3)Third-party protocol behavior — including performance risk, insolvency, malicious governance votes, or mismanagement by external teams.
(4)Market events — volatility, slippage, depegging, liquidity crises, or cascading liquidations.
(5)User-side security breaches — compromised private keys, malware, phishing, SIM-swaps, or hacked devices.
(6)Infrastructure disruptions — downtime caused by RPC providers, Cloudflare, hosting providers, data oracles, or any external integration.
(7)Maintenance, bugs, upgrades, or temporary unavailability of any part of the Services.
You understand that blockchain systems are experimental and inherently risky and that you bear full responsibility for decisions made using the Services.
6.3 Maximum Liability Cap
In all circumstances and regardless of the cause of action (contract, tort, negligence, strict liability, or otherwise), Fair Shares’ maximum aggregate liability for any claim arising out of or relating to the Services shall not exceed:
USD $50 (fifty United States dollars).
This limitation remains in effect even if the remedies provided in these Terms fail to achieve their essential purpose.
7. Indemnification
You agree to indemnify, defend, and hold harmless Fair Shares, its parent entities, affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, losses, damages, liabilities, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
(1) Your misuse or unauthorized use of the Services — including interactions with smart contracts, staking mechanisms, or integrated protocols.
(2) Your violation of these Terms — whether intentional or negligent.
(3) Your breach of any applicable law, regulation, or regulatory obligation — including securities, AML/KYC, taxation, and sanctions rules.
(4) Your interaction with or reliance on third-party protocols, platforms, or services — including losses resulting from hacks, contract failures, oracle exploits, or liquidity events.
(5) Any content, data, or materials you submit to Fair Shares — including inaccurate, false, or misleading information.
Your indemnification obligations survive termination of these Terms and your use of the Services.
8. Third-Party Links & Integrations
The Services may integrate or interact with third-party technologies and systems, including:
(1) DeFi protocols and liquidity networks — used for yield strategies, staking mechanisms, or automated execution.
(2) Blockchain data and analytics providers — supplying indexing, pricing, risk signals, or market intelligence.
(3) Custody and key-management partners — providing MPC, multi-sig, or enterprise authorization frameworks.
(4) Wallet interfaces and signing providers — enabling users to connect and authorize transactions through non-custodial wallets.
(5) External smart-contract systems — including oracles, liquid staking protocols, bridges, or validator networks.
Fair Shares does not control, endorse, or guarantee the behavior or security of any third-party system.
Your use of these external services is entirely at your own risk.
We make no representations or warranties regarding:
• the availability or reliability of third-party platforms
• the legality or regulatory status of external services
• the accuracy or safety of data sourced from outside providers
• losses, hacks, exploits, or failures caused by third-party code or infrastructure
Fair Shares shall not be responsible for any damages arising from your interactions with these third-party systems.
9. Modification of Terms
Fair Shares reserves the right to modify, amend, or update these Terms at any time in order to reflect changes in technology, regulatory requirements, market conditions, or updates to the Services.
Any revised Terms will take effect immediately upon being posted on the official website or related interfaces. By continuing to access or use the Services after such updates are published, you acknowledge and agree to the modified Terms.
Changes may include, but are not limited to:
(1) Adjustments to service functionalities or technical integrations
Updates reflecting new product features, deprecations, or changes to smart-contract systems.
(2) Revisions required for regulatory or compliance alignment
Modifications to address new laws, enforcement guidance, or jurisdictional restrictions.
(3) Updates to user obligations and acceptable-use policies
Enhanced security rules, operational requirements, or risk disclosures.
(4) Clarifications or expansions of rights, licenses, and disclaimers
Improved definitions to ensure legal precision and transparency.
You are solely responsible for reviewing the Terms periodically to remain informed of any changes. If you disagree with the updated Terms, you must discontinue use of the Services immediately.
10. Governing Law & Jurisdiction
These Terms, and any dispute or claim arising out of or relating to your use of the Services, shall be governed exclusively by the laws of the British Virgin Islands (BVI), without regard to conflict-of-law principles that might otherwise apply.
By accessing or using the Services, you agree that any legal action, arbitration, or proceeding shall be brought solely before the competent courts of the British Virgin Islands. You further agree to submit to the personal and exclusive jurisdiction of these courts.
This provision applies to, but is not limited to:
(1) Interpretation of contractual rights and obligations
All questions regarding how these Terms should be understood or applied.
(2) Disputes involving transactions executed through the Services
Including on-chain interactions, DAO participation, or protocol integrations.
(3) Claims relating to regulatory compliance or enforcement matters
Where jurisdictional clarity is required for legal processes.
(4) Any alleged breach, misuse, or unauthorized access
Covering violations of intellectual property, security, or operational rules.
No other court or jurisdiction shall have authority to preside over such matters unless required by mandatory law.
